  • Advising, planning, structuring, and assisting in the consummation of a syndicated institutional registered direct or private offering (“PIPE”) transaction (or series of institutional PIPE transactions) involving equity or equity-linked securities.
  • Securing the services of GA’s qualified in-house securities legal counsel to represent the Company in connection with some or all of the following:
    • Reviewing and evaluating historical corporate and other books, records and contracts and advising and re-documenting as may be necessary;
    • Advising, planning, structuring and negotiating, in connection with equity, debt and/or derivative securities offerings, exchange listings/automated quotation services, resale’s and trading and related regulatory compliance, including without limitation, and as may be determined hereinafter, exempt and/or registered offerings under the Securities Act of 1933, as amended (the “Securities Act”), registrations, periodic reports on Forms 10-KSB and 10-QSB, current reports on Form 8-K, proxy solicitations and information statements under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), Form 211 filings and Standard & Poor’s manual listing filings;
    • Performing due diligence review of the Company in connection with any registered or unregistered offering of securities;
    • Researching, strategizing, advising, coordinating and interfacing as necessary with Standard & Poor’s, outside accountants/auditors, taxation, investment banking, investor relations, transfer agent, EDGARization, and printing professionals;
    • Reviewing and editing press releases and other investor relations related initiatives.
